About the Role
Join a legal services team that combines technology and legal expertise to support startup clients, including companies in the technology and AI sectors. As Commercial Counsel, you will independently handle a high volume of commercial agreements and give founders practical advice that helps move deals forward.
What You'll Do
Negotiate agreements including SaaS contracts, MSAs, NDAs, DPAs, vendor deals, and partnership agreements across varied industries and business types.
Draft new agreements and templates efficiently, and deliver timely contract redlines.
Advise founders and in-house teams through Slack and calls, offering clear, business-oriented guidance.
Turn negotiation standards and legal judgment into team playbooks and AI-enabled workflows.
Help onboard and support an additional commercial counsel as the team grows.
What We're Looking For
At least 3 years of commercial law experience as an associate, senior associate, or hands-on in-house counsel; 2 years may be considered for candidates with strong law firm training.
A JD and active US bar membership in good standing. California admission is strongly preferred; New York admission is also considered.
Demonstrated experience independently drafting and negotiating a broad range of commercial agreements, including SaaS agreements, MSAs, NDAs, DPAs, vendor contracts, and partnership or channel deals.
Strong command of market terms for technology transactions, including liability caps, indemnity, intellectual property, data, and termination.
A practical, deal-closing approach, with the ability to identify material issues, explain tradeoffs plainly, and work constructively through negotiation.
Recent experience as a hands-on individual contributor, comfort with high-volume work, and experience using AI tools in legal practice or a willingness to build AI-supported workflows.
Experience across multiple industries and contract types; additional exposure to privacy, employment, or corporate matters is useful.
Compensation & Benefits
Base salary is $170,000 to $220,000 annually, with 0.2% to 0.5% equity. Visa sponsorship is not available.
Location
Remote within the United States, with San Francisco as the primary location. Occasional travel to the San Francisco office is expected; Bay Area candidates may also work from the office a few times per week.
